According to newly issued applicable rugulations, establishing foreign companies in Argentina has been simplied last November 2024.

At present, the following are the only documents to be submitted before the argentine Companies' House: 

1. A certificate attesting to the registration of the foreign company. It should be dated no more than 6 months before the filing date (usu. foreign Certificate of Good Standing);

2. A certified copy of the Articles of Association, the Bylaws and other incorporation documents, as amended;

3. The resolution of the competent Corporate Authority of the Parent Company, stating the decision to set up a branch or subsidiary in Argentina, including the following details, among others:

a- Assigned stock, if any (only for branches).

b- Appointment of legal representatives in Argentina, listing the powers granted (individuals only).

c- Documents proving the identity of the beneficial owners.

Beneficial owners are those individuals who own at least ten percent (10%) of the share capital or voting rights of a company, or those individuals who, by other means, exercise ultimate control of the same.

When it is not possible to identify the individual (s) who is/are the beneficial owner according to the above definition, the beneficial owner shall be deemed to be the individual who is in charge of the management or representation of the company.

All documents in English must be authenticated by a Public Notary, bear the Hague Apostille, and be translated into Spanish by an argentinian Sworn Translator.
